2. DESCRIPTION OF SERVICE

Eagor.ai provides an AI-powered application that analyzes users' email, messaging, and other data to help discover todos, tasks, and actions, and schedules these items into the user's calendar. The Service may be modified, updated, or enhanced from time to time.

3. BETA TESTING STATUS

Currently, our Service is in beta testing phase via TestFlight. As a beta tester, you acknowledge that:

• The Service may contain bugs, errors, and other issues

• The Service may change significantly before official release

• We do not guarantee uninterrupted or error-free operation

• Features may be added or removed without prior notice

• Your feedback is valuable to improving the Service

• All feedback, ideas incorporated, and all associated rights are the property of Eagor Inc.

4. ACCOUNT REGISTRATION AND SECURITY

To use our Service, you must create an account and provide certain information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate and complete information when creating your account

• Attest that you are at least 13 years of age

5. AUTHORIZATION FOR DATA ACCESS

By using our Service, you authorize Eagor.ai to:

• Process your data using our own systems and third-party AI services

• Create and maintain user preferences and biographical information

You represent and warrant that you have the necessary rights and authority to grant this access to your accounts and data.

You agree not to use the Service to:

• Infringe upon the rights of others

• Submit false or misleading information or prompts

• Upload or transmit malware or other malicious code

7.3 Feedback Ownership

All feedback, suggestions, ideas, feature requests, and other recommendations you provide regarding the Service ("Feedback") will be the exclusive property of Eagor Inc. You hereby assign all of your right, title, and interest in and to all Feedback to Eagor Inc. without compensation, and agree to assist Eagor Inc. in securing its rights to such Feedback.

8. THIRD-PARTY SERVICES

Our Service integrates with various third-party services and APIs, including but not limited to:

• Google and Apple for authentication and data access

• Third-party AI services for data processing

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of these third-party services.

9. DISCLAIMERS

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. EAGOR.AI SPECIFICALLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, INCLUDING ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Eagor.ai does not warrant that the Service will function without interruption or errors. The Service is currently in beta testing, and you acknowledge that it may contain bugs, errors, or other issues.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EAGOR.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE

• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE

• ANY CONTENT OBTAINED FROM THE SERVICE

• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

• BUGS, ERRORS, OR OTHER ISSUES WITH THE BETA VERSION OF THE SERVICE

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Eagor.ai and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another.

12. TERMINATION

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

13. CHANGES TO TERMS

We reserve the right to modify or replace these Terms at any time. We will provide notice of changes by posting the updated Terms on our website or through the Service. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

14. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

15. DISPUTE RESOLUTION

Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively through binding arbitration in accordance with the American Arbitration Association's rules. The arbitration shall be conducted in Connecticut.

16. SEVERABILITY

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced.

17. RELATION TO OTHER AGREEMENTS

These Terms, together with our Privacy Policy, Data Processing Agreement, and Beta Testing Agreement, constitute the entire agreement between you and Eagor.ai regarding our Service and supersede any prior agreements. In the event of any conflict between these Terms and any of those agreements, these Terms shall control except for matters related to data privacy and processing, which shall be governed by the Privacy Policy and Data Processing Agreement.
